CONSTRUCTION TRANSACTIONS

Ridgemont’s construction and engineering lawyers are specialists in procurement advice and contract negotiation & drafting

Introduction

We understand how the supply chains work in the construction industry and where the challenges and pressure points usually arise. We also understand how insurance, funding and surety enable projects to take place. Crucially we know what the market norms are when it comes to agreeing the various contracts that underpin construction works and services.

In terms of our approach to negotiating amendments to standard form contracts (eg JCT and NEC), we are sensitive to the need to balance best protecting our clients’ interests, with putting too much risk on to other parties in the supply chain. Ultimately doing the latter may undermine the success and stability of a project, which is in no one’s interests, including our client’s. It also doesn’t help create a healthy, sustainable construction sector.

We don’t just know the law relating to the industry that we advise; we also have a strong understanding of how that industry functions day to day, how projects get completed and how they sometimes fail, what the long standing strengths and weaknesses of the construction industry are and how a change in Government can have a significant impact.

Procurement Advice

Our expert team of solicitors know construction procurement inside and out, advising businesses across the supply chain on all methods of procurement.

We are able to advise clients on what form of procurement is most appropriate to their particular circumstances, whether that is through a standard form contract or something bespoke. Whether the project involves building or engineering works, will impact the most suitable form of procurement.

These are the most common forms of construction procurement and we are used to advising clients on all of these:

Traditional Design & Build
Construction management Management contracting

Similarly we have a great deal of experience advising on EPC contracts for oil and gas, transport, water and waste projects.

Contract Negotiation & Drafting

The Ridgemont team of construction and engineering lawyers is very experienced in drafting and negotiating all standard form domestic and international construction and engineering contracts and appointments, in particular those provided by JCT, NEC, IChemE, FIDIC and RIBA.

We routinely draft and advise clients on the following contracts:

Building Contracts Sub-Contracts
Professional Appointments Collateral Warranties
Performance Bonds Parent Company Guarantees
Assignments and Novations Third Party Rights Schedules

We keep up to date on employer, insurer and funder market norms and hence what are acceptable negotiating positions on those bases.

We recommend sensible, commercial positions on the amendment of standard forms, as opposed to drafting over the top, vastly detailed schedules of amendments.

CASE STUDIES

We have recently advised clients on contract packages relating to the following:
  • Mixed use schemes in central london
  • Large data centre developments
  • A waste to energy plant
  • Demolition and remediation works
